Old Second Bancorp just dropped an 8-K and the Fed is swinging enforcement actions — pay attention, bank traders.
Old Second Bancorp, ticker OSBC, filed an 8-K with the SEC timestamped today. We don't have the body text yet, but an 8-K from a community bank at this moment, with this regulatory environment, is not routine paperwork — you treat it as material until proven otherwise.
Separately, the Federal Reserve Board issued a fresh enforcement action against Small Business Bank. Simultaneously, the Fed terminated existing enforcement actions against BNP Paribas S.A., BNP Paribas USA, BNP Paribas Securities Corp., and Community Bankshares Inc. Terminations are exits from the penalty box — BNP clears. Small Business Bank just entered it.
Two signals moving in opposite directions on the same day. One regional bank filing an 8-K. One institution getting hit. Three getting released. The Fed doesn't do this casually.
And before you write off the BNP terminations as good news — terminations mean the Fed decided the remediation was sufficient. That's not the same as saying the underlying conduct was clean. It means compliance theater ran long enough. Watch what BNP does in the next two quarters now that the leash is off.
Watch OSBC. Watch what that 8-K actually says when the full filing populates. The 8-K trigger matters — is this a leadership change, a material agreement, a restatement flag? Community bank 8-Ks during active Fed enforcement cycles deserve a forensic read, not a skim. Management will call it administrative. Read the exhibit.
The numbers are the numbers. Management can spin. We don't.
